ABN AMRO Holding N.V. has resolved to apply for de-listing of its ordinary shares with a par value of 0.56 each and the preference shares with a nominal value of 2.24 each from Euronext Amsterdam by NYSE Euronext, the regulated market of Euronext Amsterdam N.V. and to apply for the de-listing of its American Depositary Shares (ADSs), each representing one Ordinary Share from the New York Stock Exchange.

The Ordinary Shares are expected to be de-listed from Euronext Amsterdam, and the ADSs are expected to be de-listed from the New York Stock Exchange, effective 25 April 2008.

The preference shares are expected to be de-listed from Euronext Amsterdam shortly after finalisation of the pending squeeze-out proceedings.
