Following OMX’s merger with the Copenhagen Stock Exchange (CSE), Henrik Normann of Danske Bank was to join the OMX Board of Directors. The election of Henrik Normann was conditional upon the completion of the merger as well as approval from the Danish Financial Supervisory Authority. Since the necessary approval from the Danish Financial Supervisory Authority has not been obtained for formal reasons, Henrik Normann has today resigned from the Board of Directors.

OMX’s Nominating Committee proposes to the shareholders that Hans Munk Nielsen be elected to serve until the 2006 Annual General Meeting is held. To elect this new member of the Board of Directors of OMX, the plan is to invite shareholders to attend an Extraordinary General Meeting in Stockholm on August 18, 2005.

Hans Munk Nielsen has been Senior Executive Vice President and CFO of TDC since 1991. He is Chairman of the Board of Directors for the Collateralized Mortgage Obligations Fund and vice Chairman of a number of companies within the TDC group.

Hans Munk Nielsen is also a member of the Board of Directors of Nordea Invest. Born in 1946, he holds a Master degree in Economics from the University of rhus and has studied at INSEAD as well as at Stanford University. Earlier in 2005, Hans Munk Nielsen was elected to the Board of Directors of OMX Exchanges. Pending his election to the Board of Directors of OMX, Hans Munk Nielsen will resign from the Boards of Directors of OMX Exchanges and the Stockholm Stock Exchange.

OMX Board members receive a yearly compensation of SEK 200,000. In Hans Munk Nielsen’s case compensation for 2005 will be adjusted according to time spent on the Board during the year. Henrik Normann has chosen to refrain from compensation due to the short time he has been a Board member.

OMX’s Nominating Committee currently comprises Eva Halvarsson (Director, Ministry of Industry, Employment, and Communications), KG Lindvall (Board member of Robur Fonder), Tom Ruud (Head of Corporate and Institutional Banking, Nordea), Olof Stenhammar (Chairman of the Board of OMX AB) and Marcus Wallenberg (CEO of Investor AB). Marcus Wallenberg has acted as Chairman.
