Dec. 2 BNY Mellon has been appointed by Banco do Brasil as depositary for its American depositary receipt (ADR) program. Each Banco do Brasil ADR represents one common share and trades on the over-the-counter market. Founded in 1808, Banco do Brasil is the oldest active bank in Brazil and one of the oldest in the Americas. In addition to providing traditional retail banking services, Banco do Brasil sells insurance, underwrites and sells bonds, conducts asset trading, offers investors portfolio management services, conducts financial securities advising, and provides markets analysis and research.

Dec. 2 Citi’s Global Transaction Services business has been appointed by 7 Days Group, a national economy hotel chain based in China, as the depositary bank for its new NYSE-listed American Depositary Receipt (ADR) program. 7 Days’ ADR program was established through a $111.1 million offering, originally priced at $11.00 per ADR, representing the third IPO of 2009 conducted in ADR form and listed on the New York Stock Exchange. 7 Days’ ADRs are listed under the symbol SVN, with each ADR representing three (3) ordinary shares.

Nov. 19 Gemalto, a digital security company, has established a sponsored Level 1 American Depositary Receipt (ADR) program in the United States. Gemaltos ADRs will trade in the United States beginning today in the over-the-counter (OTC) market. Under the program, each Gemalto ordinary share is represented by two ADRs. Deutsche Bank is acting as the depositary bank for this program.

Nov. 19 BNY Mellon has been selected by Bombay Rayon Fashions Ltd. (Bombay Rayon) as depositary bank for its global depositary receipt (GDR) program. Bombay Rayon has received in-principle approval for the listing of the GDRs on the Singapore Exchange Securities Trading Limited. Bombay Rayon’s equity shares trade on the Bombay Stock Exchange Limited and National Stock Exchange of India Limited under the symbol “BRFL.” Based in India, Bombay Rayon is a vertically integrated textile group engaged in the manufacture and export of quality designer fabrics and garments.

Nov. 19 Esprit Holdings announced the establishment of a Level 1 sponsored American depositary receipt (ADR) program. BNY Mellon has been appointed as the sole depositary for the ADR program which previously was administered by multiple depositaries.

Nov 10 BNY Mellon Shareowner Services has been appointed depositary in connection with the tender offer for common stock of GenTek Inc. by ASP GT Acquisition Corp., a wholly-owned subsidiary of investment funds managed by American Securities LLC. In its role, BNY Mellon will provide a variety of services for the upcoming transaction, valued at $673 million. American Securities is a U.S. middle-market private equity firm that invests in market-leading companies in North America with annual revenues generally ranging between $100 million to $1 billion. GenTek is a provider of specialty inorganic chemical products and valve actuation systems and components for automotive and heavy duty/commercial engines.
