Computershare Ltd., the world’s largest and only global transfer agent, and a leading service and technology provider for the global securities industry, announced that it has signed a strategic service agreement with Citibank Agency and Trust and is providing services through its subsidiaries located in New York, London and Melbourne.

As part of its comprehensive transfer agency offering, Computershare provides a full array of corporate action services to corporate clients. Under the new agreement, it will provide securities processing and related services to Citibank Agency and Trust, which handles global mergers and acquisitions, debt exchanges and other types of reorganizations. These services will support Citibank’s appointment as depository, tender agent, exchange agent, paying agent, or disbursing agent – depending on the transaction type.

Computershare Ltd. has also announced the assignment to North America of Penelope J. Maclagan, member of the board of directors and chief technology officer of Computershare Ltd. and chief executive officer of Computershare Technology Services (CTS), its global technology division.

Maclagan, 50, will oversee the continuation of the North American implementation of SCRIP, Computershare’s proprietary software system supporting the management of transfer agency accounts, and of its trading and exchange platforms. In addition, she will supervise development of North American service platforms for Computershare Document Services (CDS), its print, design and mail services subsidiary.

Maclagan will continue to maintain her global responsibilities for development of Computershare’s technology platforms and services. She will divide her time between Chicago, its U.S. headquarters, and Montreal, its primary development site in North America.
