ABN AMRO’s has completed its final offer for Italian Banca Antonveneta, which began in February 2006. The offer closed at 36,420,602 shares, equal to 11.796% of Banca Antonvenetas share capital had been tendered to the offer.
Since ABN AMRO owns as of today 87.098% of the share capital, it will become owner of shares equal to 98.894% of Banca Antonveneta.
As a result, ABN AMRO will exercise its squeeze out right for the remaining shares that have not been tendered. In line with Italian regulations, Banca Antonveneta will be delisted from the Italian stock exchange effective 6 April 2006, the first trading day following payment day.
