The SEC has released the agenda for its May 23 public meeting, with proposals being made that could have a significant impact on hedge fund and other alternative investment vehicles.
Among other things on the agenda, the SEC will propose new Regulation D exemptions for offers and sales of securities. Those exemptions will apply to “accredited investors,” the SEC said in a statement. The exemption form may be filed electronically.
Other propositions will include a revision of the holding period for the resale of certain restricted securities; an increase in the number of companies eligible for scaled disclosure and reporting requirements; an expansion of eligibility requirements of Forms S-3 and F-3 to permit registration of primary offerings by companies with a public float of less than $75 million; and exemptions from the registration requirements of the Securities Exchange Act of 1934 for grants of compensatory employee stock options by non-reporting companies.
